Job Purpose
Caterpillar seeks a highly motivated and experienced team player to serve as Corporate Counsel supporting its Progress Rail Signaling (PRS) team in the PRS Pistoia, Italy office. The position is part of the Law, Security & Public Policy Division at Caterpillar and will report to the Legal Manager located in Pistoia, Italy. This position may be assigned a combination of responsibilities in various areas. The role offers the opportunity to act as a trusted legal point of contact for selected projects and contractual matters, operating with a meaningful level of autonomy within the broader Legal team.
What You Will Do:
- Draft, review, revise, negotiate, and provide counsel to the business on commercial contracts including supply chain agreements
- Advise management on legal issues arising from Caterpillar's relationship with third parties, including specific commercial, disputes, regulatory, compliance, investigation, and other issues that may arise from time to time
- Work with other subject matter experts in Caterpillar
- Provide counselling on legal matters and related risks and opportunities based on an accurate interpretation of the law as it applies to various situations
- Have and/or develop a deep understanding of the business, to consult with management on matters involving significant risk to the enterprise and requiring a high degree of confidentiality
- Work independently but with support and collaboration of other attorneys and senior leadership within the Law, Security & Public Policy Division
- Participate in day-to day tactical legal practice, identifying and resolving issues in a variety of practice areas
- Support the business, including Project Management teams, from a legal perspective throughout the execution of complex contracts, contributing to the timely identification and resolution of legal issues and ensuring alignment between contractual commitments and project execution.
- Support the legal structuring and contractual definition of supplier agreements for goods and services, in coordination with the Procurement function and based on business requirements.
- Support negotiation phases with suppliers from a legal standpoint, ensuring consistency with Caterpillar and PRS contractual standards and applicable policies.
- Ensure appropriate legal documentation and compliance support in relation to suppliers, including aspects related to supplier qualification and onboarding. Assist the supervisor in processing the activities.
- Arrange for the filing of legal documentation
Degree and Experience Requirements:
- Law degree
- 5+ years of experience in the practice of commercial and contract law, corporate law, tenders rules and/or compliance

- Managing Multiple Priorities: Knowledge of effective self-management practices; ability to manage multiple concurrent objectives, projects, groups, or activities, making effective judgments as to prioritizing and time allocation.
- Problem Solving: Knowledge of approaches, tools, techniques for recognizing, anticipating, and resolving organizational, operational or process problems; ability to apply knowledge of problem solving appropriately to diverse situations.
- International Contracting Experience: Experience or exposure to international and cross‑border commercial contracts, with the ability to navigate different legal frameworks, governing laws and counterparties.

Additional Info:
- This position is in Pistoia - Italy
- International and Domestic travel up to 10%
Base Minimum Pay:
68.552,00 €
