Job Description:

Your Work Shapes the World at Caterpillar Inc.

When you join Caterpillar, you're joining a global team who cares not just about the work we do – but also about each other. We are the makers, problem solvers, and future world builders who are creating stronger, more sustainable communities. We don't just talk about progress and innovation here – we make it happen, with our customers, where we work and live. Together, we are building a better world, so we can all enjoy living in it.

Join Caterpillar’s corporate development team in a high-impact role focused on executing complex growth and portfolio initiatives across mergers and acquisitions, strategic partnerships, and divestitures. This position helps shape enterprise value by leading transaction workstreams from opportunity evaluation and financial analysis through due diligence, deal structuring, internal approvals, negotiation support, and integration planning. You will partner across business units and strategy teams to assess strategic alternatives, quantify value creation, and move opportunities from pipeline through post-close execution.

What You Will Do:

  • Lead and support end-to-end execution across mergers and acquisitions, strategic partnerships, and divestiture processes, including opportunity evaluation, financial analysis, due diligence, transaction structuring, deal negotiations, internal approval processes, and integration planning and execution.
  • Partner with business units and strategy teams to support pipeline development, sourcing, and evaluation of potential mergers and acquisitions opportunities and strategic alternatives.
  • Build and maintain relationships with sell-side advisors, including investment banks and accounting or consulting firms, to source opportunities and facilitate review of inbound transactions.
  • Drive and manage cross-functional teams across the enterprise to complete technical, commercial, and financial due diligence on potential targets.
  • Lead and assist post-close integration planning with business units to help capture strategic and operational value from completed transactions.
  • Translate complex financial and strategic information into credible, decision-ready business recommendations for senior stakeholders, using strong judgment, strategic thinking, and influencing skills.

What You Will Have:

  • Strong corporate development, mergers and acquisitions, or strategic finance experience with the ability to assess transactions from both financial and strategic perspectives.
  • Advanced knowledge of finance and accounting practices, including cost-benefit analysis, return on investment, financial analysis, and financial modeling.
  • Demonstrated experience evaluating investment risks, applying valuation methods, and comparing target performance with competitors.
  • Strong negotiation and influencing capability, including the ability to present cost, benefit, risk, and tradeoff considerations in a persuasive and collaborative way.
  • Excellent strategic thinking and judgment, with the ability to analyze conflicting inputs, support long-term competitiveness, and make defensible recommendations.
  • Expert-level project management capability across high-risk, high-cost, cross-functional initiatives with multiple stakeholders.

Top Candidates Will Have:

  • Master of Business Administration
  • Experience working at or with investment banks, accounting firms, and consulting firms in transaction environments.
  • Experience with post-close integration planning and execution across business units.
  • Experience designing or standardizing diligence frameworks, checklists, or governance processes for complex transactions.
  • Additional depth in financial modeling, statement analysis, valuation, analytical thinking, industry knowledge, and mergers and acquisitions.
