Caterpillar Inc. is looking to hire a Senior Corporate Counsel – Finance & Treasury. The Senior Corporate Counsel – Finance & Treasury provides legal counsel and strategic guidance to Caterpillar's Treasury and Finance teams on financing, capital markets, banking, and risk management activities. This role partners closely with business leaders to support global treasury operations while helping manage legal and regulatory risk

What You Will Do:

  • Serve as the primary legal advisor to Treasury and related finance teams on global financing, liquidity, banking, risk management, and capital markets activities.

  • Lead legal support for corporate treasury operations, including revolving credit facilities, commercial paper programs, bank onboarding, cash management, letters of credit, parent guarantees, and other credit support arrangements.

  • Advise on share repurchase programs, including accelerated share repurchases and Rule 10b-18 programs, Rule 10b5-1 trading plans, and related securities law, disclosure, and insider trading considerations.

  • Advise on financing, structured finance and capital markets transactions, including receivables purchase programs, securitizations, note purchase arrangements and inventory financing programs, and other capital markets initiatives across Caterpillar and Caterpillar Financial Services.

  • Provide legal support for derivatives and hedging transactions, including ISDA documentation, regulatory disclosures, and onboarding of new banking counterparties.

  • Support domestic and international subsidiary financing activities, including external loan facilities, intercompany financing arrangements, and related corporate governance and documentation requirements.

  • Manage legal aspects of treasury-related projects involving global funding structures, digital payment initiatives, customer financing platforms, and cross-border operational activities.

  • Develop and deliver training and guidance on insider trading, disclosure controls, treasury-related legal risks, and compliance obligations.

  • Monitor legal and regulatory developments affecting treasury operations, capital markets transactions, banking relationships, derivatives activities, and public company reporting requirements.

  • Collaborate closely with Treasury, Finance, Accounting, Tax, Caterpillar Financial Services, and Law, Security & Public Policy colleagues to deliver effective and practical legal solutions.

  • Manage relationships with outside counsel and external advisors supporting treasury, finance, and capital markets matters

What You Have:

  • Business Partnership & Influence: Ability to build trusted relationships and effectively advise senior leaders on complex legal, financial, and strategic matters.

  • Judgment & Decision Making: Ability to assess legal and business risk, navigate ambiguity, and provide practical recommendations that support enterprise objectives.

  • Legal Analysis: Deep knowledge of corporate finance and related regulatory requirements, with the ability to translate complex legal concepts into actionable business guidance.

  • Managing Multiple Priorities: Ability to effectively manage a diverse portfolio of high-impact matters in a dynamic, fast-paced environment.

  • Communication: Exceptional written and verbal communication skills, including the ability to prepare and review sophisticated disclosure documents and executive-level communications.

  • Collaboration: Ability to work effectively across functions, cultures, and geographies while fostering strong partnerships throughout the enterprise

Degree and Experience Requirements

  • J.D. from an accredited law school with strong academic credentials.

  • Active membership in at least one U.S. state bar and ability to practice as in-house counsel in Illinois or Texas.

  • Demonstrated experience supporting debt and equity financing transactions, treasury activities, and related corporate finance matters.

  • Proven ability to provide practical legal advice and counsel to senior business leaders and cross-functional stakeholders.

Top Candidates Will Also Have

  • Experience supporting a NYSE-listed multinational public company.

  • Experience supporting Treasury functions, including global funding activities, derivatives, commercial paper programs, credit facilities, and other financing transactions.

  • Strong business acumen with the ability to balance legal risk and strategic business objectives.

  • Demonstrated ability to manage complex projects involving multiple stakeholders and competing priorities.

  • A collaborative, practical, and solutions-oriented approach coupled with strong executive presence.

  • The location for this position is Irving, TX

  • This position is an on-site role and will be performed from the office five days per week

Summary Pay Range:

$177,720.00 - $266,590.00

Compensation and benefits offered may vary depending on multiple individualized factors, job level, market location, job-related knowledge, skills, individual performance and experience. Please note that salary is only one component of total compensation at Caterpillar.
