The Opportunity
In this role, you will manage Caterpillar's Direct Investment in start-up companies up to $5 million USD with Caterpillar Ventures co-investor or lead investor.
The duties of the incumbent are similar to those of the position “Sr. Investment Manager”, the key difference is that the larger and most complex transactions are routinely assigned to the Senior Investment Managers. Deals that require Caterpillar Ventures to be the lead investor or deals that where Caterpillar is investing more than $5M would fall into this category. An Investment Manager would manage strategic alignment discussions with the sponsoring business units, conduct financial reviews and post-investment analysis.
In this role you will obtain and oversee the work of outside advisors, and will work closely with our internal and external legal counsel to manage the structured phases of the VC investment approval process. Key results will be primarily measured by strategic value delivered to the business units that sponsor the investment and secondly, the financial viability of the investment post-close.
Job Duties Include managing the VC Investment Process :
Explore Phase: Work with the various Business Units to provide counsel as the strategic requirements are being developed and supporting technologies are explored. This could include the development of alternatives, profiling of potential targets, conducting VC market research using specific tools and resources; and obtaining BU Vice President approval to proceed to the definition of the Engage Phase.
Engage Phase: Selecting the deal team (a cross-functional group that typically includes a representative from the Business Unit, Legal and Strategic Investments). Once formed, the Team will make contact with targets and perform preliminary analysis (market analysis, valuation, risk assessment), ultimately resulting in a preliminary business proposal and Vice President approval to proceed.
Execute Phase: In this phase, the Investment Manager will be involved in structuring and negotiating the term sheet either directly with the company or with the lead investor and deal syndicate. Once executed, the Investment Manager will assist legal, financial, accounting, tax, environmental and other internal and external specialists in performing due diligence; will coordinate negotiation of the definitive agreements, finalize the business proposal and will work with the Senior Investment Manager and the Director of Venture Capital to gain Executive Office approval for the Business Unit to proceed to closing the transaction. During this phase, the position will be involved as both a participant and advisor.
Manage Phase: In this ‘post-implementation’ phase, the position will assist in regular assessments of the financial and commercial engagement results as compared with the final investment proposal.
Employee may also be responsible for performing other job duties occasionally as assigned.
Experience Required:
- Must have a bachelors degree in business, finance, accounting, or engineering
- For external candidates , experience with venture capital investments in the seed, Series A and Series B stages directly as lead investor or indirectly as in an advisory role.
- This position requires a strong background in technology, financial analysis, transaction structuring, strategic planning and organizational skills.
- Strong analytical, technical and project management skills are required for the coordination of Venture Capital projects; 10 or more years of progressively responsible job related experience.
- Excellent interpersonal skills are required in order to deal with sensitive issues and to communicate with internal and external senior management.
Preferred Experience:
- Masters in business, finance, accounting, or engineering
- Knowledge of the Caterpillar organization, its products, policies and procedures in conjunction with an understanding of key Venture Capital deal structures is required.
- The typical candidates would include Caterpillar employees that have had significant internal product, technology, financial or legal experiences, managers or partners from Venture Capital firms or other Corporate Venture Capital teams.
- Knowledge of the Caterpillar organization, its products, policies and procedures in conjunction with an understanding of key Venture Capital deal structures is required.
